CLIENT CONTRACT
1. Parties
This Agreement is made between CASA Carpentry & Construction Ltd (hereinafter referred to as “the Contractor”), and “the Client” per the name & address at the bottom of this form. Both parties agree to be bound by the terms and conditions set out herein, which together constitute a legally enforceable contract under the laws of England and Wales.
2. Scope of Work
The Contractor agrees to carry out the works described in the approved quotation and accompanying drawings or specifications, which form part of this Agreement. The Contractor will execute all works with reasonable skill, care, and diligence in accordance with professional standards expected of competent contractors in the carpentry and construction industry.
Any variations, additions, or alterations to the agreed scope of work must be confirmed in writing by both parties before commencement. Such changes may result in adjustments to the project cost, duration, or completion date. No verbal agreement or instruction shall be deemed valid unless subsequently confirmed in writing.
3. Payment Terms
The Client agrees to make payments to the Contractor in accordance with the payment structure outlined below and as further detailed in the Payment Process section available on CASA Carpentry & Construction Ltd’s website or in printed form upon request.
Payment Schedule:
30% Deposit – Payable upon acceptance of the quotation. This secures the project and, where applicable, allows design work to commence.
30% On Order Payment – Due once the Client has approved the final design and materials are ordered. At this stage, the Contractor will provide a provisional installation date (if not already confirmed).
40% Final Payment – Payable upon completion of the works and final client sign-off.
All payments must be made via our approved payment methods to the account details provided on the official CASA Carpentry & Construction Ltd invoice. The Client agrees that title and ownership of all materials and goods remain with the Contractor until full payment has been received.
In the event of late payment, the Contractor reserves the right to charge interest under the Late Payment of Commercial Debts (Interest) Act 1998, or any subsequent legislation, at a rate of 8% above the Bank of England base rate.
Our approved payment methods are as follows: Bank Transfer (preferred), Debit/Credit Card (Visa, Mastercard, Amex), Apple Pay, Google Pay, Pay by Bank (secure direct bank payment), and Klarna (subject to approval).
4. Variations and Delays
The Client acknowledges that any requested changes, design amendments, or additional works after the design approval or order stage may affect the total project cost and delivery timeline. Such variations must be agreed upon in writing and may require an updated quotation.
The Contractor shall not be held liable for delays caused by circumstances beyond its reasonable control, including but not limited to supplier issues, material shortages, adverse weather, unforeseen site conditions, or interference by other trades. The Contractor will make all reasonable efforts to notify the Client promptly of any such delay and will seek to minimise disruption wherever possible.
5. Cancellations
Once a design deposit has been paid and work on design or material procurement has commenced, the deposit becomes non-refundable.
If the Client chooses to cancel the project after materials have been ordered or fabrication has begun, the Client shall be liable for all costs incurred by the Contractor up to the date of cancellation, including design labour, materials, administration, and any supplier restocking charges.
The Contractor reserves the right to cancel or suspend the works if the Client fails to make payment in accordance with the agreed terms, or if site conditions render the work unsafe or impracticable.
6. Warranty and Aftercare
All workmanship carried out by CASA Carpentry & Construction Ltd is covered by a 12-month workmanship warranty commencing from the date of completion and formal client sign-off. This warranty covers only defects arising directly from our installation or craftsmanship under normal domestic conditions and proper use.

Clients are encouraged to familiarise themselves with this document to ensure full understanding of their rights and responsibilities.
Manufacturer Warranties
Where materials, fittings, or components are supplied by third-party manufacturers, these are subject to the terms and conditions of the respective manufacturer warranties. CASA Carpentry & Construction Ltd will, where reasonably possible, assist the Client in submitting claims; however, responsibility for replacement or repair lies with the manufacturer, not the Contractor.
This warranty does not affect the Client’s statutory rights under the Consumer Rights Act 2015 or other applicable legislation.
7. Liability and Limitations
The Contractor shall not be held liable for:
Damage or deterioration caused by third parties, misuse, neglect, or unauthorised alterations following completion.
Movement, warping, or cracking of natural timber due to fluctuations in temperature or humidity.
Water ingress, damp, or structural movement of the building beyond the Contractor’s control.
Consequential losses, inconvenience, or additional costs arising from delays or defects beyond the total contract value.
Nothing in this Agreement shall exclude or limit the Contractor’s liability for death or personal injury resulting from negligence, fraud, or fraudulent misrepresentation.
8. Client Responsibilities & Communication
The Client agrees to ensure that the site is accessible, safe, and adequately prepared for works to commence. This includes ensuring that other trades do not obstruct progress and that utilities (e.g. electricity, water) are available where required.
The Contractor is committed to maintaining clear and courteous communication throughout the project. The Client will be kept informed of progress, anticipated timelines, and any unforeseen changes. Should any issues or concerns arise, the Client is encouraged to contact the Contractor directly for prompt resolution.
9. Dispute Resolution
In the event of any disagreement or dispute arising under this Agreement, both parties agree to first attempt to resolve the matter amicably through direct discussion.
If a resolution cannot be achieved, either party may refer the dispute to mediation before pursuing formal legal action. Mediation shall be conducted in accordance with the Centre for Effective Dispute Resolution (CEDR) model or similar recognised procedure.
10. Governing Law and Jurisdiction
This Agreement and any non-contractual obligations arising from it shall be governed by and construed in accordance with the laws of England and Wales.
Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales in relation to any dispute or claim arising under this Agreement.
11. Entire Agreement
This document, together with the attached quotation, approved drawings, the CASA Ltd Payment Process terms, and the Warranty Information, constitutes the entire agreement between the Contractor and the Client. No other representations, promises, or terms shall apply unless expressly agreed in writing by both parties.
